LOS ANGELES—AIDS Healthcare Foundation (AHF) doesn't know if an unnamed adult performer in Florida is actually HIV-positive, doesn't know what confirmatory tests may have been done on the person, nor whether Free Speech Coalition has had access to the results of such tests, doesn't know how many performers the alleged HIV-positive performer may have worked with or whether any of them have been tested for the disease... but that didn't stop AHF president Michael Weinstein from accusing Free Speech of a "cover-up."

"To put it in context, a full-scale cover-up is now under way," Weinstein charged, after announcing that AHF had filed complaints with both the Florida Surgeon General and federal OSHA. "The results of any confirmatory tests should already be available and yet there has been no announcement. Part of the purpose in what we're trying to do today is to smoke out the facts. We don't know whether Brazzers is the source of this infection. That is being reported in some quarters... Another area of grave concern to us is that the Free Speech Coalition, which is an advocacy group, and is not qualified to investigate a public health outbreak of this kind, which should be done by epidemiologists and public health officials, is refusing to cooperate with Los Angeles County, and thereby continuing a pattern that existed previously of non-cooperation."

Of course, Free Speech Coalition is not a medical agency by any stretch of the imagination, and therefore has no legal responsibility to "cooperate" with the Los Angeles County Department of Public Health absent a subpoena. Moreover, FSC executive director Diane Duke categorically stated in a press release shortly after the press conference that, "FSC has received no contact from LACPH [LA County Public Health], out-of-state health officials, or AHF... It should also be made clear that at this time FSC does not have authorized information confirming that a performer or any performers have tested positive for HIV."

“This is another prime example of AHF and its president Michael Weinstein’s outrageous grandstanding, which is completely false and baseless,” Duke continued. “AHF has a history of spreading misinformation in order to further their agenda to force government regulation of sexual behavior. Apparently, Mr. Weinstein will stop at nothing, including spreading false information, in order to call attention to AHF’s agenda.”

Duke has issued a demand for an immediate retraction of Weinstein's lies by AHF.

As the adult entertainment community is acutely aware, ever since the lawsuit filed by 2009's "Patient Zero" against the illegal actions of CalOSHA, as well as the frivilous one filed by former performer Diana Grandmason (who's being represented gratis by AHF staff attorney Brian Chase), drove AIM Medical Associates into bankruptcy, Free Speech has been scrambling to put an AIM-like replacement system for testing adult performers in place.

"AIM was closed in May, largely due to financial pressure brought on by relentless litigation waged against them by AHF," FSC's press release states. "FSC administers the APHSS.org program, which was launched on August 1, and still in the process of organizing producers, agents and performers for participation in the program."

But while the Adult Production Health & Safety Services (APHSS) organization is still in its infancy, it has fallen to Free Speech to coordinate, to the extent it is capable of doing so, the  information available regarding the alleged Florida HIV case, separating fact from rumor—and so of course, AHF wants Free Speech to immediately disclose whatever unverified information it already has.

The press conference, which began at 2 p.m. today, was relatively short and fact-free, with Weinstein and Chase admitting that the so-called "outbreak" has so far consisted of, at most, one performer, though Weinstein implied (again, with no facts to back it up) that the person was infected by another performer; that they have no idea how many other performers the alleged positive person had worked with or if any of them had migrated to California; and although the alleged infection happened in Florida, that nonetheless, with no legal basis to back it up, "since the majority of [adult] filming takes place in California, and since the industry has suspended operations here, this represents a significant public health event in California and as such, Los Angeles County has jurisdiction" over the investigation.

Duke, however, called Weinstein on his lies.

"To FSC’s knowledge, there is no investigation being conducted by LACPH at this time," the FSC press release states. "It is impossible for FSC to obstruct an investigation that, evidently, does not exist. In the event that FSC were to be contacted by authorities from LACPH or elswehere, it would endeavor to cooperate fully, while still protecting the rights of any individuals to medical privacy."

Indeed, the press conference served mostly as yet another forum for Weinstein to promote his agenda of requiring all adult performers to wear condoms during the filming of adult content. Weinstein bolstered his claim by reiterating his position that "there have been 10 people who have tested positive in Los Angeles since 2005. That's disputed by the porn press, but that is the number that LA County say tested positive within the industry in Los Angeles since 2005." However, records from AIM, which tested the vast majority of adult performers during that period, have consistently shown that just two performers tested positive, and that at least one of those definitely did not contract the infection on an adult movie set.

But based on that bogus statistic, Weinstein went on to claim, "[T]here's always another excuse for why somebody has gotten infected. It happened out of the country; it happened out of the state; it happened because they were escorting; it happened, you know, because they're crossover, you know, which is just code for gay. So I guess the question I would have to the industry is, how are you going to interview people to determine how to exclude all these dangers? Wouldn't it just be easier to use a little piece of latex?"

However, as the FSC press release points out, the Florida performer in question was tested at a facility not approved under the APHSS system, "and therefore outside of the authority of FSC to implement industry exposure protocols."

“AHF’s campaign for mandatory condoms has done nothing but create controversy and, with the closure of AIM, has deprived the adult industry of an important health and safety resource,” Duke stated. “The industry has successfully self-regulated since 1998, due to AIM and the cooperation of the content production industry nationwide."

In addition, another pjur Superhero spot—shot in Asia and well known in the Asian markets due to a TV campaign—and a product trailer for the regular pjur range were shown. After watching the trailers, the visitors had the interesting opportunity to take a first-hand look at the products at the fair stand.

When Evan Sho, the CEO of Sampson Store, was asked to sum the Asian Adult Expo up, he said, “AAE 2011 was a great success for us. The visitors reacted very positively to our products. The pjur Superhero spray is turning into a top-seller all over Asia. The trade fair helped us to create even greater awareness for the pjur brand in Asia.”

Alexander Giebel, CEO of pjur group, was in Macao in person to support his Asian partners during the event.

The AAE has already taken place for the fourth time, and with every installment, it gains more importance, which can also be deduced from the fact that the visitor numbers are constantly rising. This year, the organisers welcomed 35,000 interested visitors from about 40 countries—an increase of 15 percent over last year’s event. CHATSWORTH, Calif.—Tuesday night's episode of ABC news magazine program Nightline opened with an approximately six and a half-minute segment addressing the current self-imposed moratorium on production in the adult industry due to reports of a performer possibly having tested positive for HIV.

The segment recapped the industry's last major HIV scare in 2004, and included archived interview footage with the central figure of that outbreak, Darren James, as well as with Vivid Entertainment founder/co-chairman Steven Hirsch and former Vivid Girl Nikki Jayne.

In addition, Nightline freshly interviewed a retired performer named Gina Rodriguez and AIDS Healthcare Foundation's Michael Weinstein, who spoke of his ballot initiative to make condom usage in adult productions a mandatory stipulation of being granted filming permits in Los Angeles.

Among Weinstein's arguments for why industry opposition to said requirement should be discounted was the assertion that adult producers "would also like to use 16-year-old girls, and they're not permitted to do that."

Veteran Director Jordan Septo Rolls Out Septo Studios

PORN VALLEY—If you're a gonzo fan, there's little doubt you've seen a few Jordan Septo videos. With titles like Double D Secretaries, Ass Ass and More Ass, My Mommy Eats Cum, Big Beautiful Teens and dozens more, there doesn't seem to be a genre Septo hasn't tried... and generally succeeeded with.

But of course, parodies are all the rage these days, and while Septo has experimented with the genre before, his I Dream of Genie and its sequel were not well received. Fortunately, that record turned way around this year with the release of his Saturday Night Fever XXX, an AVN Editor's Choice, and the director has plenty more spoofs planned for the future.

But in what we suspect is the same way that many Hollywood actors want to be directors, Septo has long wanted his own studio, and as of October, he'll have one: Septo Studios.

"For right now, it's going to be all parodies," Septo told AVN. "I have thought about, somewhere down the road, doing some really high-end gonzos, but for the time being, it's going to be all parodies."

Septo's been directing for Exquisite Multimedia and its imprints for almost a decade, producing various titles through his Paradox Pictures, but having Septo Studios as the releasing company for his titles will give him an added measure of control over them... and he couldn't be happier.

"We'll be releasing the movies under Juicy Entertainment, which is really the sister company to Exquisite anyway," he explained. "I've been directing for Exquisite Films and doing parodies for them, and based on the success I've had with that, we wanted to start Septo Studios as another outlet to do our parodies out of."

AVN had the pleasure of being on the set of Septo Studios' first release, The Nanny XXX Parody, based on the 1993-99 TV series starring Fran Drescher.

"I'm very excited about this first one," Septo understated. "It's got a great cast, and all of the sex scenes have the look and the energy needed for a great parody."

Septo's version features Andy San Dimas in the title role, with support from Lexi Belle, Alyssa Branch, Anthony Rosano, Evan Stone, Seth Gamble and Michael Vegas. As its projected release date, October 19, gets closer, we'll be posting our "On the Set" story, but parody fans can take heart that if they enjoyed Saturday Night Fever XXX, they'll love The Nanny XXX Parody even more.

Private Petitions Nevada Supremes to Stay Receivership

LAS VEGAS—As anticipated, lawyers for Private Media Group filed a petition for an emergency writ of mandamus Monday with the Nevada Supreme Court in Consipio v. Private. If granted, the writ would direct the Clark County lower court currently adjudicating the case to vacate the Order issued Aug. 25 by the judge in that case, District Court Judge Elizabeth Gonzalez, that appointed a receiver, Sureflix CEO and Private Board member Eric Johnson, to take control of all of Private’s assets.

The petition outlined several legal precedents for approving the writ, including:

1. The District Court abused its discretion in appointing a receiver

* The appointment of a receiver is not authorized under NRS 78.650 for a corporation which is a going concern and is not contemplated to be the subject of winding up and dissolution.

* The appointment of a receiver under an involuntary dissolution statute does not appear to have ever been applied to publicly traded companies, either in Nevada, or its sister states.

* The District Court abused its discretion in setting forth a “remedy” that is unduly harsh, in light of the negative repercussions that company, and its shareholders, will likely experience.

* The unduly harsh “remedy” of appointing a receiver would create further disruption; likely resulting in an additional reduction of the stock price and the appointment could jeopardize and disrupt relations with vendors and customer, and lead to delisting from Nasdaq and the calling of loans.

* The appointment of a receiver and the expansive powers extended to him lack any legal justification, and constitutes an abuse of discretion by the District Court.

2. A “plain, speedy and adequate remedy in the ordinary course of law” does not exist for Petitioners, and writ relief is appropriate.

* The appointment of a receiver is a remedy of last resort, to be used only when all else fails. The imposition of a receivership is not proper when an adequate remedy at law exists, as is the case here.

The petition also claims bias on the part of Judge Gonzalez, alleging, “Amazingly, due to a comment from the Court the afternoon before the hearing, which was captured on a daily transcript of an unrelated jury trial, it is clear that the District Court recognized, and appeared to almost relish, the very real possibility that the appointment of a receiver could result in such damage including delisting. Following day three of a trial in an unrelated matter known as CMICM Diamonds, Inc. V. Urban Casavant, et. al, (the day before the hearing on the appointment of a receiver), the court stated: ‘Hopefully my delisting of the publicly traded corporation will happen tomorrow morning, too, won't have to have a long hearing.’ Not only does this demonstrate that the judge knew of and accepted such an adverse effect on this company; it illustrates that she already knew and openly discussed the action she was going to take before the day of the hearing.”

The petition concludes, “The appointment of a receiver under this statute and these circumstances is improper and requires review. Therefore, Private, at the request ofthe independent members of its board of directors, which have executed the accompanying verification, requests that this Court issue a writ directing that the appealed from Order be vacated as the District Court has abused it's discretion, acting in an arbitrary and capricious manner, and in a manner inconsistent with the clear intent of NRS 78.650, and additionally has issued an Order in excess of its jurisdiction.”

In a recent 8-K filing with the Securities and Exchange Commission, Private reported that it has a hearing scheduled before all seven judges of the Supreme Court of Nevada on a matter related to the Consipio lawsuit, and that it intends to request that the Sept. 8 hearing also consider the emergency writ of stay request, assuming the stay is not granted prior to that hearing.

The plaintiffs were contacted but declined to comment for this story.

LOS ANGELES—The Exxxotica convention’s second annual stop in Los Angeles saw a good number of adult’s brightest stars assemble to greet their most devoted fans over three days of autograph signing, panel discussions, stage shows and more.

Friday night’s offering of free admission for ladies resulted in decent foot traffic during prime-time hours, and a similar crest came Saturday in the late afternoon and early evening. Sunday’s attendance, however, was noticeably lower, compelling many exhibitors to pack up their wares and vacate the premises long before the 7 p.m. closing time.

Nevertheless, a lot of booth reps had smiles on their faces and upbeat comments to offer when all was said and done.

Magna Publishing Group editorial director Dan Davis, who oversaw the large, centrally located Club booth as well as organized the extensive slate of seminars for all three days, told AVN, “The show has been great. We had an amazing lineup of girls signing at the Club booth, the seminars all went really well … it was a great show for L.A.”

The seminars in question ranged from instructional forums on vibrators, anal sex and webcamming, to Q&A sessions with top adult performers and directors, to informational talks on legal issues, piracy and the advent of .xxx domains.

Easily the best attended seminar, which was presented on both Saturday and Sunday afternoons, was “The Legend of Ron Jeremy,” featuring the Hedgehog himself regaling the audience with tales from his decades of being porn’s biggest living icon.

The biggest attraction of all, however, had to be Belladonna’s “Cirque de Bella,” an elegant act of acrobatics using silk bands that the superstar performed twice Friday and Saturday and once Sunday in front of her circus tent-themed booth. Having trained at the craft for the past six months, Bella was thrilled at the opportunity to show it off during the expo.

“This weekend for me was fucking exciting because I have the best booth in this whole place, and I brought my aerial silks here and that was awesome,” Bella said.

Meanwhile, she wasn’t the only one performing newly learned aerial routines. Digital Playground contract star Stoya gave three shows of her own on the main entertainment stage over the course of the con, hers using a dangling hoop known as a lyra, which she too has been training on for about six months.

“I hung from my feet and took my top off three times, one each day, and did not die, and I’m jet lagged as all hell,” Stoya quipped, “so I’m really proud of myself.”

Another big attention magnet was the land speeder replica used in Axel Braun’s upcoming Star Wars XXX: A Porn Parody, set up adjacent to the Vivid Entertainment booth where Allie Haze—much of the time in costume as Princess Leia—was signing alongside fellow Vivid Girl Capri Anderson.

“We got a great response with Star Wars, with the land speeder and a lot of interviews with the Star Wars characters,” offered Vivid production v.p. Marci Hirsch. “And the girls seem to be doing pretty good, and the store did pretty good, so all in all, I’m going to say it’s a good show.”

Evil Angel’s Karen Stagliano was not quite as enthusiastic in her summation of the weekend, albeit not entirely negative, either. “It’s been a tiny bit slow,” she said. “But we love Exxxotica’s people; they really help the companies do a great job here the best that they can, and so hopefully every year they’re going to keep building attendance, because we’d love to come back. But it was little bit slow this year. There was a good spurt for a little bit on Saturday—we’d love to see more of that.”

Perhaps the most poetic take on Exxxotica L.A. 2011 came from longtime Wicked Pictures p.r. liaison Daniel M., who averred, “It’s very encouraging to see that in this challenging and uncertain economy, so many people are still willing to come out and support the industry.”

TEHRAN, Iran—In an announcement that should send a chill up the spine of all Iranians in country, but especially Iranian youth, a senior official of the Iranian Revolutionary Guard Corps told a meeting of fellow commanders last Friday that a study by the IRGC's Cyber Army on internet usage on Ashura—a Shia day of mourning commemorating the martyrdom of Imam Hossein, the grandson of the Prophet Muhammad—showed a veritable flood of traffic to so-called “immoral sites.”

The internet usage results, which should be taken with many grains of salt, was culled not just from purported internet traffic within the country, but from countries around the world. According to the semi-official Fars news agency, deputy IRGC Intelligence chief Ebrahim Bayani said, “Based on some figures regarding the use of immoral websites by web users during noon on Ashura, among 182 countries, Tehran ranked first and Shiraz was in 15th place.”

The exact types of immoral destination to which Bavani was referring remains vague because he declined to name specific sites, but they probably include porn sites in addition to many other types of sites deemed immoral by the Iranian government and the Revolutionary Guard, which was active in the brutal crackdown on Iranian citizens protesting election results in 2009. During the Green Movement protests, social media and other technologies were used by protesters to coordinate movements and also to let the outside world know what was going on, despite efforts by the authorities to impede such communication by shutting down networks.

The underlying purpose of the announcement by Bavani is unclear, but internal Iranian politics being what it is, the somewhat odd announcement regarding internet usage on one particular day could be another manifestation of the power struggle apparently underway between Iranian president Mahmoud Ahmadinejad and Supreme Leader Ali Khamenei, with the Guard’s ultimate fealty up in the air at this point in time.

Bavani also was quoted as posing a rhetorical question that with traffic figures this “shocking,” how can Iranian youth be expected to go to the mosque and practice religion? TEHRAN, Iran—In an announcement that should send a chill up the spine of all Iranians in country, but especially Iranian youth, a senior official of the Iranian Revolutionary Guard Corps told a meeting of fellow commanders last Friday that a study by the IRGC's Cyber Army on internet usage on Ashura—a Shia day of mourning commemorating the martyrdom of Imam Hossein, the grandson of the Prophet Muhammad—showed a veritable flood of traffic to so-called “immoral sites.”

The internet usage results, which should be taken with many grains of salt, was culled not just from purported internet traffic within the country, but from countries around the world. According to the semi-official Fars news agency, deputy IRGC Intelligence chief Ebrahim Bayani said, “Based on some figures regarding the use of immoral websites by web users during noon on Ashura, among 182 countries, Tehran ranked first and Shiraz was in 15th place.”

The exact types of immoral destination to which Bavani was referring remains vague because he declined to name specific sites, but they probably include porn sites in addition to many other types of sites deemed immoral by the Iranian government and the Revolutionary Guard, which was active in the brutal crackdown on Iranian citizens protesting election results in 2009. During the Green Movement protests, social media and other technologies were used by protesters to coordinate movements and also to let the outside world know what was going on, despite efforts by the authorities to impede such communication by shutting down networks.

The underlying purpose of the announcement by Bavani is unclear, but internal Iranian politics being what it is, the somewhat odd announcement regarding internet usage on one particular day could be another manifestation of the power struggle apparently underway between Iranian president Mahmoud Ahmadinejad and Supreme Leader Ali Khamenei, with the Guard’s ultimate fealty up in the air at this point in time.

Bavani also was quoted as posing a rhetorical question that with traffic figures this “shocking,” how can Iranian youth be expected to go to the mosque and practice religion? However, while the initial information AVN received has since been corroborated by additional sources, according to the information we have at this time the actual health status of the performer in question has not yet been verified. Accordingly, AVN will wait until the current reports have been confirmed before providing additional details regarding this situation.

Meanwhile, the Free Speech Coalition, which is aware of the reported infection, has issued a statement that among other recommendations calls on studios to implement an immediate halt to production until the reports are investigated and first- and second-generation exposures have been identified, and possibly for longer.

The FSC statement is, as follows:

Free Speech Coalition (FSC), as administrators of the Adult Production Health & Safety Services Program (APHSS.org), would like to address recent reports that an active performer may have tested positive for HIV.

FSC was made aware of the purported incident on Saturday by a reliable industry source. Most importantly, FSC would like to make clear that these reports were not involving APHSS.org testing facilities. This fact has limited the information gathered by FSC/APHSS.org and we can neither deny nor confirm specific facts about this incident. Due to legal issues concerning patient privacy, FSC/APHSS.org, as of yet, is unable to implement exposure protocols and procedures.

It is the recommendation of FSC/APHSS.org that an industry-wide moratorium on production be instituted immediately and continued for a time period until the primary reports are confirmed, and possible first- and second-generation exposures have been identified. The quarantine can be extended after that point, if necessary.

According to the information that is available, the performer in question may have tested positive for HIV at a testing facility that does not appear to have protocols or procedures in place for medical follow-up (including generational testing).

However, FSC/APPSS.org cannot act on the behalf of any testing facilities outside the APHSS.org system until we are requested to do so by the performer or any medical advisor authorized by the performer. Again, we have been in contact with concerned parties and have offered to assist them in anyway possible, while still remaining compliant with the performer’s wishes for assistance, in respect to legal constraints that require that the performer’s privacy be protected, as well as other compliance issues.

In addition to the moratorium on production, FSC/APHSS.org also recommends that active performers who are concerned about possible exposure (or who would like to take extra precautions to confirm their own well-being) consider being tested as soon as possible.

FSC/APHSS.org also recommends that industry members avoid spreading unverified information until the involved parties are able to confirm developments, or until information is received from an appropriate medical authority.

AUSTIN, Texas—The all-Republican Texas Supreme Court today upheld a 2007 strip club entry fee—commonly known as the "pole tax"—claiming that the $5 charge doesn't substantially impact erotic speech and is justified as a tool to prevent the "secondary effects" allegedly caused by the combination of naked, gyrating female bodies and alcohol consumption.

"Because the fee is content-neutral and satisfies the four-part O’Brien test, we conclude that it does not violate the First Amendment," wrote Justice Nathan L. Hecht for the unanimous court in Combs, Comptroller v. Texas Entertainment Association and Karpod.

"There's just one problem: O'Brien doesn't apply to a tax," said one First Amendment attorney who's intimately familiar with the history of the case but who declined to be identified. "O'Brien talks about regulations, and to use this as a regulatory scheme is fallacy because if they're right, if the Court's right that this is a de minimis fee, then okay, you pay the $5 fee per patron and you have the same secondary effects. Nothing changes, except that the state collects more money."

To reach its conclusion, the Court drew on a variety of U.S. Supreme Court precedents, including City of Erie v. Pap's A.M., where a high court plurality ruled that a blanket ban on nudity in adult clubs was not content-based (even though theatrical plays were exempted), and City of Los Angeles v. Alameda Books, where the Supremes ruled that the city could rely on a faulty "secondary effects" study to force two or more adult businesses under the same roof to maintain separate venues, though it remanded the case to the trial court for further proceedings.

But as those who've been following this litigation know, the issue of using the fee to combat secondary effects was an idea introduced rather late in the game.

"This is just a source of revenue; it has nothing to do with secondary effects," the attorney stated. "The lady that authored the bill, when she presented the bill for the first time in committee, said, 'We are not claiming a link between topless bars and sexual assault.' She was specifically asked that question."

"That link was contested statistically by a professor at the University of Texas, and it was also contested in the sense of, there was no evidence introduced supporting that theory," he continued. "In the trial court, there was a finding that there was a potential or possible link between the operation of a topless dance club that served alcohol and sexual offenses, but it was very broad. That could have meant women who had been sexually abused went to work as topless dancers—there was, I think, one case of that—and there were assaults that happened between management and entertainers, but there was no evidence that there had been sexual assaults in the neighborhood, which is the basic secondary effect concept. They had evidence from a professor and a former police officer-turned-investigator that talked about sexual offenses in connection with entertainers, and they were assaultive type offenses, but not committed by patrons, and not in the neighborhood."

"So the problem was, with the district judge, he made that as a finding because the way he wrote his opinion, the money that was being generated from the tax, only a small part of it went to sexual assault victim programs, and a large part went to health insurance for poor people."

Indeed, the law requires that the first $25 million collected from the fee go to sexual assault prevention programs, while any funds beyond that would be split between those programs and programs to provide health care for the uninsured—a worthy goal, certainly, since Texas has the largest per capita uninsured population in the nation, but there's hardly a clear connection between those goals and charging strip club patrons an extra entry fee.

And as for the fee being de minimis—too small to notice?

"The testimony at trial was not that," the attorney noted. "The testimony was that it was extremely burdensome on small clubs; that it would put them out of business—and as to a 'medium-size club,' it would definitely impact the bottom line, but as to the major clubs, the chains, that they would be able to absorb the cost, but the testimony was never that it was de minimis and did no harm."

Of the 169 clubs to which the fee applies, the attorney estimated that more than half could be put out of business because of the fee; that another 30 percent would be hurt, while just 20 percent would be minimally affected.

Part of the problem for the Texas Entertainment Association, which represents many of the affected clubs, is the Texas Supreme Court's excessive reliance on Erie v. Pap's, a decision which couldn't even gain a clear majority of the U.S. Supreme Court in 2000, when it was decided. Moreover, while the decision agrees with previous adult speech cases such as Barnes v. Glen Theatre that found a nudity ban permissible as a "time, place or manner" restriction, the Texas court ignored the separate opinion filed by Justice David Souter, where for the first time a Supreme Court justice opined that for claims of adverse secondary effects of a particular type of speech, there should be evidence presented to justify such claims, not merely the opinions (or prejudices) of legislators—evidence the Texas court admitted existed but found to be inconsequential. Souter later expanded the concept in his dissent in City of LA v. Alameda Books to state that adult businesses should be able to introduce evidence, both at trial and before city councils, that the alleged secondary effects of their businesses don't exist.

But the biggest problem with the Texas high court's decision was its attempt to use Erie's application of the four-part test in U.S. v. O'Brien (a 1968 case involved the public burning of a draft card) as a yardstick for whether the entry fee was constitutional, when the O'Brien case dealt strictly with regulation of speech. Rather, the standard to apply—and the Texas court does allude to it—is Justice Anthony Kennedy's clear statement in his concurrence in Alameda Books.

"On the other hand, a city may not regulate the secondary effects of speech by suppressing the speech itself," Kennedy wrote. "A city may not, for example, impose a content-based fee or tax."

So how does Texas get around that? Simple: It uses Erie v. Pap's, the regulatory decision, to conclude that the "pole tax" is not content-based, even though it applies only to venues where erotic speech is being practiced, and therefore the fee is not subject to Justice Kennedy's specific exclusion of such a fee!

But the biggest problem with the "pole tax" remains the "O'Brien test," which sets out four requirements for a speech regulation to be constitutional: If it is within the constitutional power of the Government; if it furthers an important or substantial governmental interest; if the governmental interest is unrelated to the suppression of free expression; and if the incidental restriction on alleged First Amendment freedoms is no greater than is essential to the furtherance of that interest.

Of course, First Amendment absolutists would argue that based on the clear text of the First Amendment, the government does not have a constitutional power to regulate sexual speech, even to put a small tax on it in the form of an entry fee, but let's assume for a moment, considering the plethora of Supreme Court decisions upholding such a power, that the power exists.

That brings us to the second requirement, that the fee furthers an important or substantial governmental interest. Few would argue (except, of course, Texas Gov. Rick Perry and his supporters) that programs to help sexual assault victims and to obtain health insurance for the poor are not important or substantial governmental interests. The question is, why should the strip clubs' sexual speech be specifically targeted to pay for such programs, since the clubs themselves—even the ones that serve or allow alcohol on the premises—don't cause women to be assaulted nor make it more difficult for the poor to obtain health coverage? Why not levy similar fees on bookstores, or hospitals, or sports venues—unless the fee is indeed content-based (and therefore prohibited under Alameda)?

But no: "[Justice Kennedy] did not suggest that a fee like the one now before us would never be permissible," Justice Hecht claims. "The fee is not a tax on unpopular speech but a restriction on combining nude dancing, which unquestionably has secondary effects, with the aggravating influence of alcohol consumption."

The "unquestionably" comes from Pap's and its forebears, and apparently the Texas high court, quoting the Pap's logic, thinks Texas can use the fee as "a reasonable opportunity to experiment with solutions to admittedly serious problems"—and besides, the fee is only on clubs that allow alcohol consumption on the premises, so how could the fee be a speech restriction? Never mind the fact that most clubs make most of their profit from liquor sales, and without such income, they'd be out of business—thereby severely restricting their speech ability. (Wow! That sounds like a government interest—the fee—that is related to the suppression of free speech... which O'Brien's third "prong" prohibits!)

And since the Texas high court has admitted that the fee required to be paid by clubs that serve alcohol has only a minuscule effect on the clubs' speech—though they earlier claim, "We think that the fee provides some disincentive to present live nude entertainment where alcohol is consumed"—it looks like any fee would be "greater than is essential to the furtherance of that interest," since if the fee is paid, alcohol can be served, and if the combination of nude dancing and booze did cause, say, rape, the "pole tax" would have little to no effect on that!

In any case, it appears that Combs, Comptroller v. Texas Entertainment Association and Karpod is ripe for review by the U.S. Supreme Court—and since more than half of Texas's strip clubs might close if forced to pay the fee, it's likely that such a cert petition is already in the works.

Whether the Order indicates an imminent dénouement to this case or not, it certainly signals a dramatic escalation by the court in its determination to gain control of a case that has been as slippery as an eel. As AVN readers who have been following our coverage are aware, the outcome of this case—which pits the current management and Board of Private against former management, creditors and some shareholders—will determine the future makeup of the management and Board of this iconic European brand.

The case has certainly had as many twists and turns as a Formula One race. A good indication of its fluidity can be found in the 13-page Order, issued Aug. 25, which includes a Findings of Fact section that provides the groundwork for the current Order. One part in particular describes the outlook of the court with respect to Private’s behavior thus far.  

“Throughout the course of this lawsuit, Private has demonstrated a propensity for disregarding or resisting clear and unambiguous orders of this Court,” it reads. “Most egregiously, as set forth in the Court's June 20 Order, Private knowingly disobeyed the Court's October 21, 2010 Order, causing Consipio to be disenfranchised of its right to vote 3,950,000 Private shares at the 2010 annual shareholder meeting. Had Private complied with the October 21, 2010 Order, the Consipio slate of directors would have been elected by a margin of well over 3,300,000 shares and an orderly change in control of Private would have ensued. Instead, since November 18, 2010, Milton has retained control of Private.”

Today, Private, which is publicly traded on Nasdaq, filed a Form 8-K with the Securities and Exchange Commission, which states, in part, “On July 26, 2011, the Court, on its own motion, decided to reconsider its Order entered on November 17, 2010, insofar as it had previously determined that it would be inappropriate to appoint a receiver for the Company.

“On August 25, 2011, following a hearing held on August 23, 2011, the Court entered an Order appointing Eric Johnson, a director, as a receiver for the Company, to serve in such capacity until further order of the Court. The Order purports to appoint a receiver for the purposes of (i) preserving the Company’s assets and business, and (ii) setting the date for and conducting the 2011 Annual Meeting of Shareholders. The Order places the receiver in control of all of the assets of the Company. The current Board of Directors will remain in place until the Annual Meeting of Shareholders and until their successors are elected by the shareholders, to be held later this year. The current directors will continue to perform its duties as required by federal law and the Nasdaq Marketplace Rules until their successors are so elected.”

The current position of the court is that despite its earlier denial of the plaintiff’s 2010 application for the appointment of a receiver, subsequent developments have made such an appointment necessary and apparently urgent. Indeed, the current Order is in and of itself a detailed articulation of precisely why the appointment of Johnson as receiver is being made.

For example, in the Finding of Facts section, Gonzalez states, “Private's directors, most notably Milton, have been guilty of gross mismanagement in the conduct and control of Private's affairs,” that its “directors, most notably Milton, have been guilty of misfeasance, malfeasance or nonfeasance,” that the company “has been unable to conduct its business in accordance with established principles of good corporate governance because of Milton's refusal to allow it do so and his exercise of undue influence over Private's so-called ‘independent’ directors,” that “Private's assets are in danger of waste, sacrifice or loss,” and that “the appointment of a receiver over Private is necessary to preserve its remaining assets and business, and to protect its shareholders.”

The resulting Order specifically stipulates that Johnson “shall immediately take control of all assets of Private including, without limitation, all direct and indirect subsidiaries of Private (including those entities named below) and their respective assets. To achieve control over any such subsidiary, Mr. Johnson or his designee or assignee shall be and is empowered by this Court to remove, suspend and or appoint directors, officers, administrators, managing members and employees of all of Private's direct and indirect subsidiaries including but not limited to:

"Coldfair Holdings Limited (Cyprus)

"Fraserside Holdings Ltd. (Cyprus)

"Peach Entertainment Distribution AB (Sweden)

"Milcap Media Group S.L.U. (Spain)

"Private Media Group Services S.L. (Spain)

"Private Benelux B.V. (The Netherlands)

"Private France SAS (France)

"Private North America, Ltd. U.S. (California)

"Barbuda B.V. (The Netherlands)

"Ceresland S.L. (Spain)

"Private Media Group Canada, Inc. (Canada)

"Fraserside IP LLC U.S. (Iowa)

"ThinkForward, Inc. U.S. (California)

"GreenCine, Inc. U.S. (Delaware)

"Mama's LLC U.S. (Delaware)

"GameLink LLC U.S. (Delaware)

"eLine LLC U.S. (Delaware)

"Sureflix Digital Distribution, Inc. US. (Delaware)

"Entruphema, Inc. (Canada)”

Judge Gonzalez also identifies specific Private subsidies in the Order that have been targeted for the apparent purpose of ensuring without a modicum of doubt that Johnson or his appointees have complete control over them.

For instance, the Order reads, “Ordered, Adjudged and Decreed, specifically with respect to Milcap Media Group S.L.U., Private Media Group Services S.L. and Ceresland S.L. (all registered in Spain), Mr. Johnson, or his designee or assignee, is authorized to conduct all business on behalf of these companies including the removal, suspension and/or appointment of directors, officers, administrators and employees, He, or his designee or assignee, is further authorized to engage these companies as signatory and authorize all and any corporate resolutions of these companies.”

Similar specifics are included for other Private subsidiaries, including Fraserside Holdings Limited (registered in Cyprus), Coldfair Holdings Limited (Cyprus) and Peach Entertainment Distribution AB (Sweden).

The plaintiffs provided AVN with the following comment regarding today’s Order. “As throughout this case, we respect the decision of the Court. We have full confidence in Eric Johnson to fulfill the scope of his mandate as receiver including the return of Private to its legitimate owners, its shareholders. We are pleased that poor business judgment and gross disregard for fiduciary duty will no longer be hallmarks of Private's management ethos.”

The defendants declined to comment. AVN has contacted Eric Johnson for comment, but he did not respond immediately.

In the Nevada version of , Judge Elizabeth Gonzalez has issued an Order appointing current Private Board director and Sureflix chief executive Eric Johnson as a receiver for the company, tasked with managing all assets belonging to the Barcelona-based adult brand.

LOS ANGELES—At 4 p.m. today, Exxxotica Los Angeles opens its doors to attendees with an official ribbon cutting ceremony. Produced by Victory Tradeshow Management and sponsored by HotMovies.com, Exxxotica takes place all weekend in the Los Angeles Convention Center’s South Hall.
